Welcome to Say Action-related services.

“Say Action” is an open-source AI film, television, and short-drama creation workbench. In this Agreement, “we” refers to the actual deployment operator that provides you with Say Action webpages, clients, software development kits (SDKs), application programming interfaces (APIs), or related services; the respective responsibilities of open-source code contributors and actual operators are determined by applicable laws, deployment documentation, and the services each actually provides.

1. Introduction

1.1 This Agreement is jointly entered into by us and users who agree to use Say Action-related services in accordance with this Agreement (hereinafter referred to as “you”). Please note that other Say Action-related agreements, activity rules, announcements and explanations, internal message notifications, and the like that we have published, may subsequently publish, or modify from time to time (collectively, “Platform Rules”) constitute an integral part of this Agreement and have the same legal effect as this Agreement. For Platform Rules that we subsequently publish or modify, we will specifically draw your attention to them when providing the corresponding services or notify you in an appropriate manner. If you do not accept or understand any modified term of this Agreement, you may consult Say Action platform customer service. If you still disagree with the relevant changes after consultation, you shall stop using the functions and services of the Say Action platform as of the specified effective date of the changes. If you continue using them after the changes take effect, you will be deemed to have fully understood and accepted the changes that have taken effect.

1.2 To use Say Action-related services, please carefully read and fully understand all terms of the Say Action User Agreement (hereinafter referred to as “this Agreement”), particularly the clauses limiting and/or exempting liability, the privacy protection policy, account rules, and the clauses on governing law and dispute resolution (including jurisdiction clauses).

1.3 Say Action primarily serves adults. If you are under 18 years of age, please carefully read and fully understand this Agreement in the company of your guardian, particularly the terms of use relating to minors, and use Say Action only after obtaining your guardian’s consent.

1.4 By clicking to register on a webpage or actually using Say Action-related services, you are deemed to have fully read, understood, and accepted the entirety of this Agreement, and this Agreement will be legally binding upon you. If you disagree with or do not understand any part of this Agreement, please do not take any action to enter into it.

1.5 If you have any questions, comments, or suggestions regarding the contents of this Agreement, you may contact us through the project feedback channel ([email protected]).

2. Say Action Products and Services

2.1 This Agreement applies to your access to and use of the AI content generation functions and services provided by all forms of Say Action products, including but not limited to model training, content generation, information publication, interactive communication, search queries, and other services.

2.2 Say Action aims to provide artificial intelligence applications and related functions such as text-to-image, text-to-video, and image-to-video, with the aim of inspiring visual content creators such as illustrators, designers, and artists and assisting them in completing their creations. It is also suitable for personalized AI content creation by general users.

2.3 We grant you a personal, revocable, non-transferable, and non-exclusive right to lawfully use Say Action. All other rights not expressly granted in this Agreement remain reserved by us. Unless you obtain our prior express written authorization, you may not use Say Action in any unauthorized form, including but not limited to copying, dissemination, adaptation, web crawling, vertical search, mirroring, or trading.

3. Say Action Accounts

You understand and acknowledge that, before you begin registering for and using Say Action platform services, you shall possess the capacity for civil conduct appropriate to your actions as prescribed by the laws of the People’s Republic of China. If you do not possess the capacity for civil conduct appropriate to your actions, please carefully read and fully understand this Agreement in the company of your legal guardian, and register for and use Say Action platform services only after obtaining your legal guardian’s consent. You and your guardian shall bear all consequences arising from your registration and use.

3.1 Account Registration

3.1.1 Before using Say Action platform services, you need to register using a mobile phone number registered under your real name or a third-party account recognized by the Say Action platform (such as a WeChat or QQ account). You may need to provide certain necessary information when registering for or using Say Action platform services. To ensure that the platform services you enjoy are safe, effective, and continually optimized, you agree to authorize us to verify and reasonably use your necessary personal information. You must ensure that the details you enter and provide are true, accurate, and complete; otherwise, you may be unable to use Say Action platform services, may be subject to restrictions during use, or may even be affected in your ability to use particular functions of the Say Action platform. You shall bear liability and losses arising from untrue, inaccurate, or incomplete information you provide.

3.1.2 An account you successfully register may be used legitimately only by the single user entity confirmed at registration and may not be used for purposes such as violating laws or regulations or harming others’ interests. You may not maliciously register accounts in bulk. Without our written consent, you are prohibited from gifting, lending, renting, transferring, selling, or otherwise permitting others to use the account in any form. If we discover or have reasonable grounds to believe that the user is not the original registrant of the account, we have the right to immediately suspend or terminate services to that registered account and permanently disable it in order to protect account security.

3.1.3 You may use Say Action without logging in, but you will not be able to experience all product functions and services. Before using certain functions and/or individual services, such as AI content generation, information publication, and interactive communication, you must complete account registration or login and real-identity information verification as required by relevant national laws and regulations. Collection of mobile phone numbers is necessary to fulfill the requirements of relevant national laws and regulations concerning the online real-name system (real-identity information verification). If you refuse to provide a mobile phone number during registration/login, we may be unable to provide you with functions and services relating to AI content generation, information publication, and interactive communication.

3.1.4 If you provide any information that is unlawful, immoral, or that we consider unsuitable for display on the Say Action platform, or if we have reason to suspect that your information results from automated programs or malicious operations, we have the right to suspend or terminate your account and refuse your present and future use of all or any part of Say Action platform services.

3.1.5 Neither we nor the Say Action platform are required to assume any responsibility for any registration information of any user, including but not limited to responsibility for identifying or verifying the authenticity, correctness, completeness, applicability, and/or currency of any registration information.

3.1.6 You are responsible for safeguarding information such as your account username and password/verification code; otherwise, the user shall independently bear legal liability arising from such matters. Any act using a Say Action platform service login account and login credentials shall be deemed to have been performed by you, and electronic information records generated by such acts constitute valid evidence of the conduct of Say Action platform service users.

3.1.7 When you need to terminate use of Say Action platform account services, you may apply to cancel your Say Action platform account if you understand and agree to the following requirements or conditions:

(1) You may apply to cancel only your own account. Please contact us through the project feedback channel ([email protected]) to cancel your account;

(2) You shall remain responsible for your use of Say Action before account cancellation;

(3) After the account is canceled and deleted, we will delete, anonymize, or otherwise process information within the account, except where laws, regulations, or relevant rules provide otherwise regarding information retention periods or processing methods. After the account is canceled and deleted, you will no longer be able to log in with that account or retrieve any content or information related to it.

3.1.8 In accordance with relevant laws and regulations, if your account has not been logged into for six consecutive months or longer, we will have the right to freeze or reclaim it. Once frozen or reclaimed, the account can no longer be logged into or used. After the account is reclaimed, information and usage records stored under it cannot be recovered. Before freezing or reclaiming your account, we will notify you in an appropriate manner. If you still fail to act as instructed after receiving the relevant notification, we will freeze or reclaim the account.

3.2 User Account Security

After completing registration of a Say Action account, you are responsible for protecting its security. You agree that:

3.2.1 You shall be fully responsible for all activities conducted using your account, including but not limited to any data modifications you make on the Say Action platform. You shall attach great importance to keeping your account and verification code confidential and shall not disclose them to others under any circumstances. If your Say Action platform account is used without authorization or any other security issue occurs, you shall notify us immediately. Except where we are at fault under the law, we assume no liability for losses you may suffer as a result of delayed notification.

3.2.2 If you fail to safeguard your account and verification code, we cannot and do not assume any liability for any resulting loss or damage.

3.2.3 You are responsible for maintaining the security and confidentiality of your account and verification code and shall bear full legal liability for activities you conduct in the name of your registered account. If your failure to safeguard your account and verification code causes damage to you, us, or any third party, you will bear full responsibility.

3.2.4 You may not transfer your account or authorize others to use it in any form without authorization. Say Action shall assume no liability for losses and consequences arising from your voluntary disclosure or lending of account information or from attacks, fraud, or similar acts committed against you by others. You may seek recovery from the infringer through judicial, administrative, or other remedies.

3.3 Unified Account Services

3.3.1 Unless otherwise specified, all Say Action affiliated platforms use unified Say Action account services. Your registered Say Action account can be used across all Say Action affiliated platforms, and content you publish under your Say Action account will also be synchronized across those platforms. When you log in with your Say Action account and use relevant services on an affiliated platform, you shall be bound by both this Agreement and the user agreement and platform rules of the affiliated version (if any). If the affiliated platform’s user agreement and platform rules are inconsistent with this Agreement, the affiliated platform’s user agreement and platform rules shall prevail.

3.3.2 To improve the publication efficiency and exposure of content you generate and publish, you agree to authorize us to automatically synchronize all content published under your Say Action account to other software and websites we operate using your account. Public information such as your Say Action account avatar and nickname may also be synchronized.

3.3.3 To maintain good platform order and atmosphere, we may adopt coordinated management measures across Say Action affiliated platforms. For example, if penalties are imposed on you in Say Action for conduct that violates laws, regulations, or this Agreement, your use of relevant services on the affiliated platform Say Action Showcase may also be affected by those penalties, and vice versa.

4. Protection of Users’ Personal Information

4.1 Respecting user privacy and protecting the security of your personal information have always been our approach. We will take reasonable measures to protect your personal information and privacy. We undertake that, without user consent, we will not collect or use users’ personal information beyond what is necessary to provide services or use information for purposes other than providing services. In addition to complying with the specific personal information protection and privacy policies stipulated under this Agreement, we hope you will carefully and fully read the Say Action Privacy Policy, which we have formulated specifically for the platform and publish as appropriate, as this will further help protect your personal information.

You acknowledge and agree that, to facilitate your use of Say Action-related services, we have the right to obtain, use, store, and share your personal information in an expressly disclosed manner, subject to compliance with laws and regulations. Without your authorization, we will not publicly disclose, edit, or reveal your personal information or the non-public content you store in Say Action.

You acknowledge and agree that we have the right to collect data on your use of products or services and your behavior through technologies such as cookies, and to freely use the resulting purely commercial data after it has been de-identified so that it no longer points to or is associated with your personal identity information.

You may contact a human customer service representative or email [email protected] to request access to, copying, correction, supplementation, or deletion of personal information. Identity verification is required in the process. Once your identity has been successfully verified, we will complete the review and processing within the time frame stated for the relevant request in the Say Action Privacy Policy.

4.2 We will use various security technologies and procedures and establish a comprehensive management system to protect your personal information and prevent its improper use or unauthorized access, use, or disclosure.

4.3 Without your consent, we will not disclose your personal information to any other company, organization, or individual, except where:

(1) Required by relevant laws and regulations or judicial or administrative authorities;

(2) Transferred to complete a merger, division, acquisition, or asset transfer;

(3) Necessary to provide the services you request;

(4) Transfer or disclosure to third parties is permitted under the Privacy Policy or other agreements and rules.

6. Intellectual Property

6.1 You understand and agree that any code, trademarks, service marks, trade names, graphics, artwork, photographs, portraits, textual content, audio, video, button icons, computer software, logos, digital downloads, data compilations and other materials included in the services provided by the Say Action platform are the property of us or our content providers and are protected by the laws and regulations of the People's Republic of China concerning copyright, trademark rights and other property ownership rights. You must not engage in any conduct that infringes our intellectual property rights or other rights and interests, or those of any third party.

6.2 You understand and agree that, unless otherwise agreed, ownership, intellectual property rights and other legal rights in user content that you upload or publish through the Say Action platform belong to you or your licensors. To enable better sharing and promotion of user content and enhance its dissemination value and influence, you agree and/or ensure that the actual rights holder agrees to the following:

6.2.1 You undertake that all content you upload or publish when using Say Action-related services (including but not limited to content in various forms such as models, text, images, audio and video, and all components contained therein, including music, sounds, lines, visual designs and dialogue) is your original work or has been lawfully authorized for your use (including the right to sublicense), and does not infringe any third party's intellectual property or other rights. Ownership of content you generate online using the Say Action platform belongs to you personally; intellectual property rights and other proprietary rights in the relevant generated content belong to you or the relevant intellectual property rights holders.

6.2.2 With your authorization, we have the right, when necessary, to act in our own name or engage a professional third party to enforce your rights on your behalf against infringement of content that you have uploaded or published and in which you hold intellectual property rights. Such enforcement may include, but is not limited to, monitoring infringement, sending rights enforcement letters, and initiating litigation or arbitration.

6.2.3 You have ownership of, control over and responsibility for content that you publish or otherwise provide on the Say Action platform. Your content must not violate any provision of this Agreement or applicable laws and regulations, nor may it infringe or misappropriate any rights of any individual or entity. If we have concerns that your content violates the foregoing provisions of this Agreement, we may remove your content at any time at our sole discretion. If you disagree with the outcome, you may contact us using the contact details in this Agreement and provide materials to seek a resolution through consultation.

6.2.4 When you use Say Action-related services to generate images or other content, a brand watermark reading “Content generated by Say Action” will appear in the generation tool's interactive interface and the generated image/video display area. When downloading images/videos, you may choose to generate and save an AI brand watermark style.

6.2.5 You shall use this service in good faith as a tool to assist creation. If you intend to publicly distribute or disseminate generated content or use it commercially, you shall conduct the necessary review of whether the generated content and your use comply with laws and regulations and, where necessary, seek professional legal advice to eliminate the risk of intellectual property infringement to the greatest extent possible.

The foregoing license is for purposes related to Say Action and our other related business platforms, including but not limited to promoting and redistributing some or all of the services (and their derivative works) in any media format and through any media channel, improving and enhancing our artificial intelligence models, products and services, and ensuring the security and stability of the services. 6.3 When content contains reasonable and customary license notices (such as open-source licenses), further access to, distribution or use of such content shall comply with the terms of that license, and neither party may remove references to any such license.

7. User Breaches and Their Handling

7.1 For your violations of this Agreement or other terms of service, we have the right to make an independent determination and, depending on the circumstances, take measures such as issuing advance warnings, refusing publication, immediately stopping the transmission of information, deleting content or comments, temporarily prohibiting the publication of content or comments, restricting some or all account functions up to terminating the provision of services, and permanently closing the account. We bear no liability for consequences resulting from such measures, including your inability to use your account and related services normally or to access assets or other rights and interests in your account normally. We have the right to announce the outcome of our handling and to decide, based on the actual circumstances, whether to restore use of the relevant account. For conduct suspected of violating laws or regulations or constituting unlawful or criminal activity, we will retain relevant records and have the right, in accordance with the law, to report to the relevant competent authorities, cooperate with their investigations, report the matter to public security organs, and take other such actions. We have the right not to restore deleted content.

7.2 We respect and protect the lawful rights and interests of users and others, including intellectual property rights, rights to reputation, rights to a name and privacy rights. You warrant that, when using Say Action services, the text, images and models you upload, or your use of text, images, videos and other content generated using models provided by other users, do not infringe any third party's intellectual property rights, rights to reputation, rights to a name, privacy rights or other lawful rights and interests. Otherwise, we have the right to remove the content suspected of infringement upon receiving notice from a rights holder or relevant party. You shall handle all claims made by third parties yourself and bear all legal liability that may arise therefrom. If your infringement causes losses to us, our affiliates, controlling companies, successor companies or other users (including but not limited to economic losses and damage to goodwill), you shall also fully compensate us, our affiliates, controlling companies, successor companies or other users for all losses suffered.

7.3 You are fully responsible for your conduct in using Say Action services. You shall indemnify us and related parties for all liabilities for compensation and expenses (including attorneys' fees) arising from your use of (or inability to use) the services (including but not limited to your violation of the User Agreement or laws and regulations, any content or data you publish or use, and any other party's use of your content for any services), unless the claim arises directly from Say Action's fraud, gross negligence or intentional criminal conduct, in which case this indemnification liability does not apply.

7.4 You agree that we have the right, as an independent third party, to independently make decisions on investigating and handling disputes based on the facts of the dispute known to us and in accordance with the Say Action dispute resolution rules, exercising the degree of care of an ordinary person. If you are dissatisfied with a relevant decision, you retain the right to resolve the dispute through other legally prescribed dispute resolution channels. However, before a final decision is obtained through those other channels, you agree to first comply with the investigation and handling decision already made.

7.5 If we discover, or receive reports or complaints from others, that you have violated this Agreement or laws, regulations or relevant national provisions, we have the right to take measures such as issuing warnings, freezing, terminating, suspending or restricting account use and other functions, rescinding or terminating this Agreement, or seeking damages.

8. Scope and Limitation of Liability

8.1 Our services are provided on an “as is” and “as available” basis. We hereby expressly disclaim any express or implied warranties regarding the services, including but not limited to their applicability, freedom from omissions, continuity, accuracy, reliability or fitness for a particular purpose.

8.2 Given the limitations of science and technology at the present stage and the principles underlying artificial intelligence generation technology, it is difficult for us to guarantee the truthfulness, accuracy, reliability or uniqueness of generated content. Results generated from identical or similar inputs may be uncertain, and we therefore make no warranties regarding generated content. You shall independently assess and verify generated content objectively and prudently. You shall bear all consequences and responsibility arising from any judgments you make based on generated content or any subsequent related actions you take on that basis (including but not limited to risks arising from your judgments regarding the truthfulness, accuracy, reliability, uniqueness and non-infringement of generated content). We attach great importance to the content safety of artificial intelligence-generated results and will endeavor to adopt reasonable safety measures to filter inappropriate/harmful content produced by models and ensure that their output conforms to expected standards as far as possible. However, we cannot completely rule out the possibility of errors. If you encounter such a situation, please promptly provide feedback to us. We will handle it promptly and continue to optimize the platform's services.

8.3 We fulfill our basic safeguarding obligations as required by law, but we bear no liability for impediments to performance of this Agreement, defective performance, delayed performance or changes to the substance of performance caused by any of the following:
